TERMS AND CONDITIONS

The following terms and conditions govern the sales of Cortland Hardwood Products, L.L.C., referred to herein as “CHP”, whether made pursuant to oral or written orders to its representatives or salesmen. Any additional or different terms in Buyer's for TERMS AND CONDITIONS

The following terms and conditions govern the sales of Cortland Hardwood Products, L.L.C., referred to herein as “CHP”, whether made pursuant to oral or written orders to its representatives or salesmen. Any additional or different terms in Buyer's forms or other documents are hereby deemed to be material alterations and notice of objection to them and rejection of them is hereby given. If a purchase order or other correspondence contains terms or conditions contrary to the terms and conditions contained herein, CHP acceptance of any order shall not be construed as assent to any additional terms and conditions, nor will that constitute a waiver by CHP of any of the terms and conditions contained herein. No modification of CHP terms and conditions will be binding on CHP unless agreed to in writing by CHP.

Overruns

Made to Order items may include up to a 10% overrun your final amount may vary from the original order based on the actual quantity shipped

CANCELLATIONS

CHP reserves the right to require payment for goods or services in advance. If Buyer fails to make payment in accordance with the terms of this agreement, or any collateral agreement, or fails to comply with any provisions hereof. CHP may at its option (and in addition to other remedies), cancel any unshipped portion of the order. Buyer will remain liable for all unpaid amounts. Any cancellation by The Buyer must be approved by CHP, and may be subject to restocking and/ or other charges. 

TAXES

Buyers are responsible for all applicable sales taxes or for providing a valid sales tax exemption certification.

FORCE MAJEURE

CHP will not be liable for failure to perform or for delay in performance due to acts of God, fire, flood, strike, or any other labor difficulty, act of any governmental authority or of the Buyer, riot, war, embargo, car shortage, wrecks, or delay in transportation, inability to obtain necessary labor, materials, or manufacturing facilities from usual sources or due to any other cause beyond our reasonable control.

 


TITLE AND RISK

Delivery shall constitute acceptance unless Buyer within one day thereafter notifies CHP of any nonconformance with the terms and conditions of the order. Delivery of the material shall constitute acceptance by Buyer of these terms and conditions whether or not any written acknowledgement hereof be executed by Buyer. 

1. Customer pickup or delivery with CHP vehicle:

Title to the materials and risk of loss, or damage to, shall pass from CHP to Buyer upon delivery thereof to Buyer, Buyer’s agent, or designated area specified by buyer. Buyer authorizes deliveries to be made without signature to job site or area designated by Buyer. 

2. Delivery by third party:

Title and risk of loss or damage shall pass to Buyer upon delivery of goods to any carrier at CHP or any other shipping point. CHP reserves the right to route all shipments, and may assist Buyer in processing claims against carriers, without incurring liability therefor.

RETURNED CHECKS

A returned check will not be considered resolved unless the amount of the check plus a $25.00 processing fee is received in our office within five (5) business days upon notification to The Buyer by CHP. If the returned check is not resolved within five (5) business days, CHP will pursue any and all legal action to resolve the situation.

LATE PAYMENT CHARGE

A late payment charge of 2% per month on the unpaid balance will be made on all past due accounts. Buyer also agrees to pay reasonable attorneys' fees and other costs incurred by CHP at collection.

WARRANTY

Natural color variation and mineral stains may occur in wood products; these are not defects. Defects in material or workmanship must be reported upon receipt and prior to finishing or installation. Wood products must be main­tained under stable temperature and humidity conditions to remain under warranty. Prompt and proper sealing and finishing is essential to maintain wood stability. CHP is not responsible for the appearance of field-finished material. All doors must be finished six sides. Replacement requests are subject to CHP approval and must be made during the 30-day period following the acceptance date of the material. CHP liability shall not exceed the replacement cost of our product. CHP is not liable for improper use or misuse of its products. No other warranty is either expressed or implied. CHP reserves the right to make design modifications and/ or adjust prices without notice.

Items made from knotty wood types may contain chips, holes, cracks, and other imperfections that may be caused from manufacturing and/or during the shipping & handling process. These are inherent to these wood types, and are not considered defects.  It is best to order knotty wood types in random lengths.  Due to the nature of these wood types we do not guarantee they will arrive in the requested lengths.

RETURNS 

All returns are subject to approval by CHP, and to restocking and/ or handling charges. Goods are not returnable after 60 days. No damaged, soiled, cut, or otherwise altered items will be accepted. Packaged items cannot be returned unless contained in the unopened, undamaged, unaltered original package. CHP may, at its option, refund returned material in the form of In Store Credit. No returns on special order products.

STATE OF JURISDICTION

This agreement, including its validity, interpretation, performance, operation and enforcement, shall be governed by the laws of the State of Ohio.

PROTECTION GUIDELINES

- DO NOT expose finish-grade wood products to rain/snow. Water spots will show up after finishing.

- DO NOT subject material to extremely high, low or fluctuating humidity. Relative humidity of 25-55% is ideal. Fresh concrete, plaster, paint, and drywall can all transmit moisture to unfinished wood products. The end result is swelling, joint separation or warping of wood products.

- DO NOT expose unfinished wood products to excessive heat, dryness or sudden temperature changes. These can all cause twisting, cupping, or warping.

-DO NOT expose wood to direct sunlight for extended periods of time. Certain species, in an unfinished state, are more susceptible to discoloration if exposed to sunlight.
